VAUT Studi® - Service Agreement

1. Purpose

This Service Agreement (“Agreement”) describes the general terms under which VAUT Studio® provides product engineering, AI systems, automation, digital platform development, consulting, and related technical services to clients (“Client”, “you”, or “your”).

This Agreement works together with:

  • Privacy Policy

  • Terms & Conditions

  • Any proposal, statement of work, invoice, or written scope approved by both parties

Project-specific documents take precedence where they contain additional or conflicting terms.

2. Project Acceptance

A project is considered officially accepted only when:

  • The scope has been approved in writing,

  • Pricing and payment terms have been confirmed,

  • Required onboarding information has been received, and

  • The applicable initial payment has been successfully processed.

VAUT Studio® reserves the right to decline projects that fall outside our technical, operational, legal, ethical, or strategic capabilities.

3. Scope of Services

Services may include, but are not limited to:

  • Product strategy and planning

  • System architecture

  • Full-stack application development

  • SaaS and digital platform engineering

  • AI agents and automation workflows

  • API integrations

  • Operational platform development

  • UX/UI implementation

  • Deployment and production support

  • Technical consulting and optimization

Only the services specifically described in the approved proposal or statement of work are included in the engagement.

4. Discovery & Strategy Work

Discovery sessions, audits, architecture reviews, and strategic assessments may include research, technical evaluation, documentation, recommendations, and planning activities.

Outputs from discovery work are intended to guide project direction and do not guarantee specific business results, revenue outcomes, operational savings, or market performance.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete project information,

  • Deliver required content, assets, credentials, and approvals in a timely manner,

  • Ensure they have the legal right to provide all materials shared with VAUT Studio®,

  • Review deliverables and provide feedback within a reasonable timeframe,

  • Maintain backups of their own systems and data unless backup management is explicitly included in the scope.

Project timelines may be adjusted if required information or approvals are delayed.

6. Payment Structure

Product Build Engagements

Projects with a defined build scope and a value typically ranging from USD $1,500 to $3,000 require full payment in advance before production work begins.

Payment reserves VAUT Studio®’s delivery capacity and authorizes the start of strategy, architecture, design, development, integration, testing, and deployment activities.

Strategic Partnership & Custom Engagements

Custom engagements and strategic partnerships with a value of USD $5,000 or more generally use a milestone-based payment structure tailored to the scope, complexity, team allocation, and delivery phases of the project.

Typical structures may include:

  • Initial reservation payment,

  • Architecture or design milestone,

  • Development milestone,

  • Final delivery or deployment milestone.

Specific payment schedules are defined in the approved proposal or invoice.

7. Deposits & Project Reservation

Initial payments reserve engineering capacity, scheduling, and resource allocation for the Client’s project.

VAUT Studio® is not required to begin work until the applicable reservation payment has been received and confirmed.

8. Change Requests

Requests that modify the approved scope, including additional features, integrations, redesigns, workflows, platforms, or operational requirements, may be treated as Change Requests.

Change Requests may result in:

  • Additional fees,

  • Revised delivery timelines,

  • Updated technical requirements,

  • Additional approval or documentation steps.

VAUT Studio® will communicate the impact of material scope changes before proceeding with the additional work.

9. Delivery & Acceptance

Deliverables are considered accepted when:

  • The Client confirms acceptance in writing, or

  • The deliverable has been deployed to the agreed environment and no material issues are reported within a reasonable review period.

Minor visual differences, content adjustments, browser-specific variations, or enhancement requests that do not materially affect the approved functionality do not constitute grounds for rejecting a deliverable.

10. Intellectual Property

Unless otherwise agreed in writing:

  • The Client retains ownership of content, trademarks, data, and materials they provide.

  • VAUT Studio® retains ownership of its pre-existing tools, frameworks, libraries, automation systems, templates, methodologies, deployment scripts, and internal engineering assets.

Upon full payment of all applicable project fees, the Client receives the rights expressly granted for the approved deliverables produced specifically for that engagement.

11. Confidentiality

Both parties agree to protect confidential information exchanged during discovery, planning, development, deployment, and operational collaboration.

Confidential information includes business, technical, financial, operational, product, infrastructure, and strategic information that is not publicly available and would reasonably be considered confidential.

12. Post-Delivery Support

VAUT Studio® includes a limited post-delivery support period for the correction of reproducible defects directly related to the approved delivered scope.

This support does not include:

  • New features,

  • Additional integrations,

  • Content updates,

  • Design revisions beyond the approved scope,

  • Third-party platform issues,

  • Infrastructure changes outside VAUT Studio®’s control,

  • Modifications made by the Client or external providers after delivery.

Ongoing maintenance, monitoring, optimization, or operational support requires a separate support or partnership arrangement unless explicitly included in the project scope.

13. Refunds & Cancellations

Payments made for discovery work, strategy, architecture, engineering, design, automation, development, and other professional services are generally non-refundable once work has started.

If a project is cancelled before production work begins, VAUT Studio® may, at its sole discretion, issue a partial refund after deducting any time, planning, consultation, research, administrative, or preparation work already performed.

Completed milestones, approved deliverables, reserved engineering capacity, and work already performed remain billable and are not eligible for refund.

14. Delays & Client Inactivity

If the Client becomes unresponsive for an extended period, VAUT Studio® may:

  • Pause the project,

  • Reallocate scheduled resources,

  • Adjust delivery timelines,

  • Require a reactivation review before work resumes.

Projects inactive for an extended period may require a revised scope, updated pricing, or a new agreement.

15. Third-Party Services

Projects may involve third-party services, including hosting providers, cloud infrastructure, AI providers, payment processors, APIs, analytics tools, communication platforms, and deployment services.

VAUT Studio® is not responsible for:

  • Third-party outages,

  • Security incidents originating from third-party providers,

  • API changes,

  • Pricing changes,

  • Account suspensions,

  • Data loss caused by external platforms beyond our reasonable control.

Use of third-party services remains subject to the terms and policies of those providers.

16. Limitation of Liability

To the maximum extent permitted by applicable law, VAUT Studio® shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, business opportunities, data, goodwill, or operational interruption arising from or related to the services provided under this Agreement.

VAUT Studio®’s total liability for any claim relating to a specific engagement shall not exceed the amount actually paid by the Client for the services giving rise to the claim.

17. Termination

Either party may terminate an engagement if the other party materially breaches this Agreement and fails to cure the breach within a reasonable period after written notice.

Upon termination:

  • The Client remains responsible for all completed work, approved milestones, and outstanding invoices,

  • VAUT Studio® may suspend further work and access to undelivered project assets until outstanding obligations are satisfied,

  • Confidentiality obligations survive termination.

18. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws applicable to VAUT Studio®’s principal operating jurisdiction, without regard to conflict of law principles.

Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts in the applicable operating jurisdiction, unless otherwise agreed in writing.
